TD Thanks You

1. CONTEST PERIOD: The TD Thanks You JUNOS Experience Contest (the “Contest”) begins at 12:01 AM Eastern Time ("ET") on August 1st, 2024 and ends at 11:59 PM ET on September 21, 2024 (the “Contest Period”). The Sponsor of the Contest is The Toronto-Dominion Bank, 9th floor, TD Tower North, 77 King Street West, Toronto, ON M5K 1A2 (“TD"). The contest administrator for this Contest is Diamond Integrated Marketing, 477 Richmond Street. W. #1000, Toronto, ON M5V 3E7 (the "Contest Administrator").

2. ELIGIBILITY: The Contest is open to all residents of Canada: a) who are existing TD customers of any one or more of TD Retail Personal Banking, TD Retail Small Business Banking, TD Wealth, and/or TD Insurance (each a "TD Group" and collectively "TD Groups") on or before July 31st, 2024; b) whose TD Group(s) account(s) are active and in good standing; and c) who are the legal age of majority in their Province/Territory of residence at the time of entry into the Contest, (each an "Eligible Participant"). The following individuals and their household members are not eligible to enter the Contest: Employees, agents, and representatives of each of (i) TD, (ii) its subsidiaries and affiliates, and (iii) any and all other companies associated with the Contest including the Contest Administrator, and their respective subsidiaries and affiliates

3. HOW TO PARTICIPATE: No purchase necessary. "Entrant" means the Eligible Participant who, during the Contest Period, fully completes and submits a Contest entry form (the "Form") with their full name, phone number, the email address associated with their TD Group profile as an existing TD customer, and their preferred time of day for phone contact (i.e. morning, afternoon or evening) (each an "Entry" and collectively the "Entries"). The Form is available at www.tdthanksyou.com. Limit one (1) Entry per Entrant.

4. PRIZES: There are two (2) prizes of a JUNOS Experience package available to be won, as described below (each a "Prize" and collectively the "Prizes") with a total approximate retail value (ARV) of CAD$6,600:

• Two (2) P1 level tickets for the winner and their guest (collectively, the "Prize Participants") to the JUNOS on Sunday March 30th, 2025 at 5:00 PM Pacific Time ("PT") (the "Event") at Rogers Arena in Vancouver, British Columbia (the "Venue") (total ARV CAD$600)
• Two (2) VIP backstage tour & rehearsal viewing at the Event on March 30th, 2025 (the "Rehearsal Event"), exact time to be determined closer to the Event date,
• Two (2) Air Canada travel vouchers of CAD$1,000 each (each an "Airfare Voucher" and collectively "Airfare Vouchers") (total ARV of CAD$2,000) provided the winner resides 200 kilometres or more from the Venue. See Prize Conditions below for what a winner will receive in lieu of the Airfare Vouchers if they reside less than 200 kilometres from the Venue.
• 4-star hotel accommodations (double room occupancy) (the "Hotel") for one (1) night in Vancouver, BC, on March 30th, 2025 (ARV CAD$500). Exact hotel to be determined in the sole discretion of TD and the Contest Administrator
• Two (2) pre-paid Visa* gift cards of CAD$500 each (total of CAD$1,000)

Note: The total ARV of the Prize is inclusive of the Airfare Vouchers and is based on the departure city of St. John's, Newfoundland. Therefore, the total ARV of the Prize may vary depending on the winner's actual departure city. In the event that a winner is not eligible for the Airfare Vouchers (see Prize Conditions below), the total ARV of the Prize may vary even further.

Prize Conditions

a) Each Prize must be accepted as awarded and no substitution, transfer, conversion to cash or otherwise, or assignment of the Prize will be allowed, unless at the sole discretion of TD, which may substitute another prize of lesser, equal or greater value.

b) If a winner resides less than 200 kilometres from the Venue, in place of the Airfare Voucher, the Contest Administrator will arrange for return ground transportation for the Prize Participants from the winner's home to the Hotel on March 30th, 2025 and from the Hotel to the winner's home on March 31st, 2025. However, the Prize Participants are responsible for any ground transportation from the Hotel to the Venue and from the Venue to the Hotel.

c) If a winner resides 200 kilometres or more from the Venue, the winner will be responsible for booking and managing their own flight and that of their travelling companion, which they can do through Air Canada, using the Airfare Vouchers included in the Prize. The Airfare Voucher can be applied towards any products and services offered by or through Air Canada and is subject to Air Canada's terms and conditions including any terms and conditions that may be printed on the Airfare Voucher. Any air travel expenses not covered by the Airfare Vouchers, if used, will be the sole responsibility of the winner.

d) The Prize Participants are responsible for ensuring they have all necessary travel documents (e.g., valid government issued identification) and for complying with any and all health and safety protocols. TD is not responsible in the event any Prize Participant is refused boarding at any time by any airline or airport security.

e) If a winner resides 200 kilometres or more from the Venue, they will be responsible for all ground transportation to and from their departure & arrival airports, to and from the Hotel, and to and from the Venue.

f) All Prize details not specifically addressed in these Contest rules, including the location of the Hotel and the specific seats at the Venue, will be determined in the sole discretion of TD.

g) Any unused portion of the Prize will be forfeited.

h) Each Prize Participant must be the legal age of majority in their Province/Territory of residence, unless accompanied by a parent or legal guardian.

i) Venue dates and times may be subject to change. The terms and conditions of the tickets awarded as part of the Prize will govern in the event the Event and/or the Rehearsal Event is not held for any reason including, due to weather conditions, natural disaster, an act of God, an act of terrorism, civil disturbance, work stoppages or any other similar reason. The Released Parties (defined below) will not be responsible for weather conditions, acts of God, acts of terrorism, civil disturbances, work stoppages or any other similar reason outside their control that may cause the cancellation or postponement of the Event and/or the Rehearsal Event.

j) Each Prize Participant agrees to comply with all applicable Venue regulations in connection with the Prize. The Venue reserves the right to remove or to deny entry to either or both of the Prize Participants if either or both engage in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person, at the Venue.

k) Tickets awarded as part of the Prize may not be resold or offered for resale or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and Prize forfeiture.

l) Each winner is solely responsible for acceptance and use of the Prize and for any costs, fees, taxes and expenses associated with the Prize, including any federal and provincial taxes applicable to the Prize, that are not specified herein as being provided, including but not limited to travel and health insurance, transportation costs (including checked baggage fees, excess baggage fees, and ground transportation from the Hotel to the Venue and from the Venue to the Hotel), meals and gratuities, and any other expenses incurred by the Prize Participants in claiming, accepting and/or using the Prize.

5. DRAW DATES: Two (2) random draws (each a “Draw”) for the Prizes will be held in Toronto, ON at 9:30 AM ET on September 23^st , 2024. The odds of winning will depend on the total number of eligible Entries received.

6. ENTRANT SELECTION: If you are a selected Entrant in the Draw, you will be provided specific instructions on what you are required to do in order to claim your Prize. Each Prize will be awarded only upon verification and final approval by TD. No communication will be entered into with any Entrants except with the selected Entrant(s).

Attempts will be made to contact the selected Entrants based on the contact information provided at the time of entry, for a period of three (3) business days following the Draw date. If a selected Entrant cannot be contacted within the allotted time, TD reserves the right to void that Entry and select another eligible Entrant for the Prize. In order to be declared an official winner, a selected Entrant must correctly answer a mathematical skill-testing question without mechanical or other assistance. A selected Entrant will be required to complete, sign and return a Declaration and Release Form within two (2) business days of receipt. If a selected Entrant fails to complete, sign and return the Declaration and Release Form within two (2) business days and/or provides an incorrect answer to the mathematical skill-testing question, TD and/or the Contest Administrator reserves the right to void that Entry and select another eligible Entrant for the Prize.

7. CONTEST GENERAL RULES: By entering the Contest, Entrants agree to abide by these Contest Rules and the decisions of TD and the Contest Administrator, which are final. All Entrants release and forever discharge each of the Contest Administrator and TD, their advertising and promotional agencies, and their respective affiliated companies and all of their respective officers, directors, employees, and agents, as well as all other companies associated with the Contest including the JUNOS and CARAS (collectively, the "Released Parties") from all claims, demands, damages, actions and causes of action arising or that could arise by reason of his/her/their participation in the Contest and/or the administration of the Contest, including, without limitation, the selection and awarding of the Prize. By entering the Contest, Entrants give permission to TD, at its option, to publish or otherwise use the Entrant's name, address, photograph, voice and comments, without compensation, in any publicity carried out by TD or its advertising agencies where such Entrant is declared to be the winner of a Prize. TD reserves the right, in its sole discretion to terminate the Contest, in whole or in part, or modify, amend or suspend the Contest and/or the Contest Rules in any way at any time for any reason, without prior notice or compensation. TD and the Contest Administrator shall in no way bear any liability whatsoever regarding any Prize. In no event shall TD or the Contest Administrator be liable for any special, incidental, consequential, indirect or punitive damages arising out of or in connection with this Contest and/or the Prize or its uses, however arising, including negligence.

8. DISQUALIFICATION: TD and the Contest Administrator are not responsible for lost Entries, interrupted or unavailable network servers or other connections, miscommunications, failed telephone or computer or telephone transmissions or technical failure, jumbled, scrambled, or misdirected transmissions, or other errors of any kind whether human, mechanical or electronic. Any Entrant found tampering with, undermining or abusing any aspect of this Contest, as determined by TD and/or the Contest Administrator, will be disqualified. In the event any portion of this Contest is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of TD and/or the Contest Administrator, which, in the sole opinion of TD and/or the Contest Administrator, corrupts, or impairs the administration, security, fairness or proper entry into the Contest, TD and the Contest Administrator reserve the right, in their sole discretion, to suspend or terminate this Contest, or to amend the Rules of the Contest.

9. APPLICABLE LAWS: This Contest is subject to all applicable federal, provincial and municipal laws. Except where prohibited by law, all issues and questions concerning the construction, validity, interpretation and enforceability of the Contest Rules or the rights and obligations as between an Entrant and TD in connection with the Contest shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, including procedural provisions, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. Any litigation must be commenced in the City of Toronto, ON.

10. PRIVACY: By entering this Contest, Entrants consent to the collection, use and sharing of information about them by TD with third parties, including the Contest Administrator, for the purpose of administering this Contest, in accordance with the TD Privacy Code at www.td.com/privacy.
